Russia–UAE double taxation: what business owners should check

11 min readRussia–UAE business series · 2

An owner moves to Dubai, a Russian company continues paying dividends and a newly established UAE company starts invoicing clients. Does that mean tax is now payable in only one country? The answer depends on who receives the income, what the payment represents, tax residence and the evidence. Here is a practical way to prepare for a Russia–UAE treaty review without confusing tax relief with the movement of money.

Part two of the Russia–UAE business series.

Reviewed on 29 October 2026. This guide helps organise financial information for a specialist assessment; it does not determine the tax treatment of an individual transaction. Explore Business in the UAE / NG Consulting for practical preparation support.

Which Russia–UAE agreement applies in 2026?

The new agreement was signed on 17 February 2025, entered into force on 18 July 2025 and applies from 1 January 2026. For withholding taxes, the relevant provisions refer to when an amount is paid or credited; for other income taxes, they refer to the start of the tax year. Those rules need to be matched to the transaction, rather than simply the year in which a commercial contract was signed.

The reference point is the official agreement and protocol published by the UAE Ministry of Finance. The treaty allocates taxing rights and provides relief from double taxation. It does not make every transfer between Russia and the Emirates tax-free.

Start with the taxpayer. A Russian company’s profit, its owner’s dividends and a UAE company’s revenue belong to different recipients. Combining them into one calculation of “the owner’s taxes” obscures the questions that need answering.

A residence visa and tax residence are different matters

The UAE Federal Tax Authority’s guidance explains that holding a residence permit does not automatically establish tax residence. An assessment requires facts for the relevant period and, for treaty purposes, the applicable treaty conditions.

Prepare a country-by-country travel calendar and connect it to accommodation, family, work and business management. Where an individual may be resident in both countries, Article 4 provides a sequence of tie-breaker criteria. One convenient document is not a substitute for that assessment.

Review the company separately from its owner

Record where the entity is incorporated, who makes key decisions, where staff work and where contracts are performed. An owner’s move does not automatically resolve the company’s residence or permanent-establishment position. Articles 4 and 5 and the actual business activity matter.

What to check on a Tax Residency Certificate

Check the applicant, period and purpose. The FTA distinguishes certificates for treaty purposes from certificates for other purposes; a treaty application identifies the relevant country. The process is set out in the FTA’s official services guide. A TRC helps document status, but does not replace a review of the income category and the other conditions for relief.

Separate the cash flows before calculating the tax

Begin with a transaction register, rather than a preferred tax rate. Each entry should identify the payer, recipient, basis, date, currency, gross amount, withholding and actual receipt.

TransactionQuestion to establishSupporting records
Dividends from a Russian companyRecipient, beneficial ownership and residence; Article 10Distribution resolution, ownership records, calculation and withholding evidence
Interest on a loanSeparate interest from repayment of principal; Article 11Loan agreement, advance, schedule, accruals and payments
Services between businessesActual work, people, place of activity and Article 7 questionsAgreement, deliverables, invoices, pricing rationale and performance evidence
Rental income from Dubai propertyOwner, income category and Article 6 applicabilityTitle records, tenancy, receipts and expenses
An asset saleWhich asset was sold and which provision applies; Article 13Acquisition, disposal, cost, settlement and associated expenditure

This table is a preparation route, not an automatic classification. The relevant provision must be assessed against the agreement and the facts. A payment reference reading “consultancy services”, for example, needs to reflect work that was actually performed.

A Russian sole proprietor and a UAE company under common ownership

Show personal accounts, the sole proprietor’s business account and the company account separately. Identify the basis of each movement: a fee, loan, debt repayment or another actual event. Common ownership does not explain a transaction’s price or replace evidence of performance. Prepare related-party, permanent-establishment and functional-allocation questions for specialist review.

Example: a Russian company pays dividends to a UAE-based owner

Article 10(1) limits source-country tax to 10% of gross dividends where the beneficial owner is resident in the other contracting state and the treaty conditions apply. This is a treaty ceiling for the relevant circumstances, not a universal rate for all payments to the UAE. The article also contains specific rules and limitations.

An illustrative calculation

A Russian company declares a dividend of RUB 2,000,000. Assume treaty entitlement has been established, no exception applies and the applicable withholding rate is 10%.

RUB 2,000,000 × 10% = RUB 200,000

That leaves RUB 1,800,000 for payment before bank charges and currency conversion. This demonstrates the arithmetic; it is not a calculation of any particular reader’s liability.

Reconcile three separate figures: the declared dividend, tax withheld and the amount paid to the owner. A RUB 1.8 million bank balance alone proves neither the original gross amount nor payment of the tax to the authorities. Article 10 also leaves intact the company’s taxation on the profits from which dividends are paid.

Do not apply the example to loan principal, employment income, a sole proprietor’s revenue or a property disposal. Establish the nature of each flow and its recipient first.

A foreign tax credit is not a refund of every foreign tax payment

Article 23 provides a double-taxation relief mechanism with a limit linked to tax on the relevant income or capital in the other country. A Russian tax payment cannot simply be deducted from any UAE liability, or vice versa.

For an illustrative model, assume that one taxpayer has paid 100 units of source-country tax on a particular income item and has a residence-country tax calculation of 150 units for that item. If the credit is available and supported, 50 remains in this model. If the corresponding residence-country tax is zero, the credit mechanism does not itself generate a refund of 100 units. These are hypothetical amounts, not examples of actual statutory rates.

Match the taxpayer, income, period, currency and evidence of tax payment before calculating. A company’s tax cannot automatically be treated as its owner’s personal tax. Documentation and the procedure for claiming relief require a separate check.

The business owner’s preparation checklist

Create one working folder with clear document references. The following is an organisational framework, not a prescribed tax-authority form.

  1. Business structure: companies, sole proprietorships, shareholders, interests and operating countries.
  2. Residence for the relevant period: travel calendar, available accommodation, significant personal and business connections, and a TRC where available.
  3. Income basis: agreement, distribution resolution, asset records or other supporting evidence.
  4. Chronology: accrual, payment, withholding and subsequent-transfer dates.
  5. Reconciliation: gross income, tax, net receipt, charges and actual currency conversion.
  6. Tax evidence: calculations, reporting records and applicable evidence of payment or withholding.
  7. Actual activity: who performed the work, where decisions were made and the commercial rationale.
  8. Questions for the adviser: relevant provision, entitlement, credit, document-submission process and deadlines.

A useful preparation output is a register linking “transaction → evidence → tax question → responsible person”. It identifies gaps and helps agree the scope of specialist advice before detailed work begins.

Errors that can undermine a treaty claim

  • Treating an Emirates ID as sufficient evidence for relief.
  • Using another recipient’s certificate or failing to check the period covered.
  • Mixing company profit, sole-proprietor income and personal distributions.
  • Applying a dividend rate to every transfer.
  • Relying solely on an unexplained bank debit as evidence of tax payment.
  • Describing operations only by their registered address, without explaining actual functions.

Review the commercial purpose as well. Article 27 restricts benefits in specified circumstances involving the principal purposes of an arrangement or transaction. A working description should explain real functions, people and economics, rather than relying on a formula that the entity was established to reduce tax.

Why the treaty does not answer the bank’s questions

Even after tax treatment is established, a bank may need a separate source-of-funds explanation. Connect the distribution decision, gross amount, tax, net receipt and onward transfer. The previous guide, UAE source of funds: preparing the evidence for your bank, explains how to organise that trail.

A tax residence certificate, treaty calculation and response to a bank enquiry serve different purposes. Prepare them consistently: names, amounts and dates in the financial explanation should agree with the underlying records.

How NG Consulting can help

We start with financial facts: separating owner and company transactions, mapping cash flows, reconciling accruals, withholding and receipts, and identifying missing evidence. Deliverables can include an agreed register, supporting calculations and an issues list for a tax adviser. You can request a review of one distribution or financial preparation for a cross-border business structure.

NG Finance supports companies worldwide; this guide addresses Russia–UAE connections specifically. Residence, tax rates, treaty entitlement and filing obligations require specialist assessment. Scope, timing and fees are agreed around your question.

Frequently asked questions

Does living in Dubai mean my Russian income is no longer taxed?

Residence in Dubai alone does not establish that conclusion. The recipient’s status, income source and category, applicable rules and supporting evidence all need reviewing.

Is obtaining a TRC enough?

No. The period, specific treaty, income recipient and conditions of the relevant provision also need checking.

Can I forecast the net cash flow in advance?

Yes. A scenario model can show gross income, assumed withholding, any potential credit, fees and conversion. Tax assumptions should be identified clearly and validated by a specialist.

Do I need to send bank statements with the initial enquiry?

No. Start by describing the business and transaction. We will agree the documents and how to provide them after clarifying the scope.
