Russian dividends paid to UAE residents: tax, evidence and payment planning

10 min readRussia–UAE business series · 5

A Russian company is distributing profits to a shareholder based in the UAE. Before payment, align three things: who is entitled to the income, the basis for any treaty relief, and the cash that will actually reach the recipient. This guide sets out a preparation process, a worked example and a free document tracker.

Start with the payment brief

Record the Russian payer, the recipient — an individual or a UAE company — the ownership basis, gross dividend, payment date and currency. Share that brief with the payer’s accountant and the adviser reviewing the tax position. A shareholder’s personal certificate does not replace the company’s evidence, even where that person is its sole owner.

1. What the treaty’s 10% rate means

Article 10 caps source-country tax at 10% of gross dividends where the beneficial owner is resident in the other treaty state. It does not remove the distributing company’s tax on its profits. Exceptions and restrictions, including a holding connected with a permanent establishment and anti-abuse rules, require separate review. Russia–UAE treaty, Articles 10 and 27.

For planning purposes, keep company profit, the declared distribution, withholding tax and the recipient’s net proceeds in separate lines. A single “dividend receivable” figure can obscure the difference between an accounting entitlement and spendable cash. Until the tax calculation is agreed, avoid funding essential personal or business commitments against an assumed relief.

A UAE visa, an overseas account and a place to live do not, by themselves, settle the treatment of a particular payment. Review the tax residence evidence, then agree the required pack with the Russian payer.

2. An individual shareholder and a UAE company need separate files

QuestionIndividual recipientUAE company recipient
Who receives the income?The shareholder personallyThe legal entity holding the investment
Whose evidence is needed?The individual’s identity, ownership and residence recordsThe company’s registration, ownership, authority and residence records
What should reconcile?Name, period, shareholding and personal accountLegal name, registration number, ownership structure and corporate account
How should the review be organised?A file for the individual and the specific distributionA file for the company and the specific distribution

On the UAE side, the FTA treats dividends earned by individuals from shareholdings in their personal capacity as outside Corporate Tax. That treatment should not automatically be extended to business activity or a legal entity’s income. FTA: personal investment income.

For a company’s foreign shareholding, UAE dividend exemption is subject to the Participation Exemption requirements. FTA: foreign company distributions. Ask for a separate assessment of the recipient’s regime, income treatment and any available credit. A note that “Russian tax was withheld” does not complete that review.

3. Build the evidence pack before payment

For a foreign company, the Russian Federal Tax Service identifies competent-authority residence confirmation, a Russian translation and beneficial ownership confirmation. The pack goes to the withholding agent before payment. FTS guidance on Article 312 of the Russian Tax Code. Agree the applicable procedure separately for an individual; do not simply copy a corporate checklist.

A practical payment file can be organised into five sections. This is NG Finance’s working structure; the mandatory evidence for your case must be established through the relevant review.

  1. Entitlement. The distribution resolution, ownership evidence, the profit period and the calculation allocated to the recipient.
  2. Recipient. Identity or registration documents, a current ownership chart and signatory authority where relevant.
  3. Tax review. Residence evidence for the correct person and period, necessary translations, beneficial ownership materials, and the payer’s written questions and responses.
  4. Calculation. Gross dividend, the rate and its basis, withholding, net proceeds and the currency conversion method agreed with the accountant.
  5. Execution. Recipient bank details, payment records, evidence of tax paid and the credit entry on the receiving account, as they become available.

For the certificate’s purpose and coverage period, see our UAE TRC guide for Russia. Keep the original electronic file separate from its translation. Identically named scans covering different periods are an avoidable source of confusion.

4. Prepare for beneficial ownership questions

Build a clear explanation of who controls the dividend and what happens to it next. Support a general confirmation letter with records that explain the underlying commercial position:

  • an ownership chart identifying the dividend recipient;
  • a short description of the UAE company’s activities and functions, if it receives the income;
  • decisions on the use of funds and the authority of those making them;
  • agreements and obligations relating to any onward transfer;
  • an explanation of any distinction between the legal recipient and ultimate owners.

Flag questions for the relevant adviser: must the recipient pass the money on immediately, did the structure change shortly before payment, and do the records agree with the actual cash movements? These are review questions, not automatic findings of wrongdoing. A well-organised index supports the assessment; it does not replace legal analysis.

5. Work from gross dividend to available cash

Assume a Russian company plans a gross dividend of RUB 10,000,000 to a UAE recipient. For this illustration, the accountant and tax adviser have confirmed a 10% rate, and no other adjustments apply.

RUB 10,000,000 × 10% = RUB 1,000,000 withheld

RUB 10,000,000 − RUB 1,000,000 = RUB 9,000,000 net

This is before bank charges and currency conversion. It is not a guaranteed amount in AED or USD.

In the Russian business’s cash forecast, show the net distribution and payment of the withheld tax separately, with their respective due dates. In the recipient’s forecast, use an expected credit date, then replace the estimate with the actual bank entry. Avoid committing funds on the sending date if they are not yet available to spend.

The example illustrates arithmetic under stated assumptions. It does not establish an owner’s tax rate, transfer availability or final tax outcome. For liquidity planning, use a 13-week cash flow forecast.

6. Separate the tax review from payment execution

An agreed tax calculation is not a bank’s confirmation that a particular transfer can proceed. Before fixing the payment date, ask the servicing banks about the proposed transaction, account details, currency, payment reference and required evidence, taking applicable restrictions into account.

For a source-of-funds response, prepare a traceable sequence: ownership in the Russian company → distribution resolution → calculation and withholding → transfer → receipt. Names and amounts should reconcile throughout. Explain any conversion, charge or intermediate account that changes the figures. See our UAE source-of-funds guide for a fuller evidence structure.

Keep the bank’s request and your response together, with dates and version references. Describe the payment consistently with its economic basis. A convenient label that conflicts with the distribution resolution makes later reconciliation harder.

7. A pre-payment action plan

  1. Define the payment. Identify payer, recipient, profit period, amount and intended date.
  2. Assign the reviewers. Involve the Russian payer’s accountant, the adviser assessing the tax position and the person responsible for the recipient’s evidence.
  3. Assemble the file. Create an index and resolve differences in names, coverage periods and account details.
  4. Agree the calculation. Record the basis used, the withholding and the net amount. Keep unresolved issues visible.
  5. Check execution. Confirm the banking route, restrictions and timing, and maintain sufficient liquidity.
  6. Reconcile the outcome. Match the declared dividend, withholding, outgoing payment and actual credit after completion.

If evidence is missing, do not treat relief as confirmed. Raise the issue with the withholding agent before execution. If payment has already occurred, reconstruct the facts and calculation first. Any correction or refund route requires separate assessment, with no assumed result.

Frequently asked questions

Can a shareholder’s personal TRC support dividends paid to their company?

The recipient in the resolution, calculation and supporting evidence must align. Where the income belongs to a company, its owner’s personal certificate does not complete the company’s file.

Does Russian citizenship rule out treaty relief?

The FTS distinguishes citizenship, tax status and income type. Begin with the applicable residence position and payment facts, rather than the passport alone. FTS: residence in Russia and another country.

Is a certificate enough on its own?

Organise the review around the whole payment: ownership, recipient, residence, entitlement to income, calculation and execution. Agree the evidence requirements with the Russian payer.

Does NG Consulting guarantee a reduced rate or a successful transfer?

No. We help prepare financial information, reconciliations and evidence files. Tax conclusions need specialist review, and the relevant bank decides whether a transaction can proceed.
